1. Definitions

"Account"
Your registered user account on the Bizent platform.
"Business"
The business entity or sole trader you represent when using the Service.
"Content"
Text, images, files, and other materials you submit, post, or display on the Service.
"Goal"
A defined objective with associated milestones that you create or collaborate on.
"Milestone"
A specific task or deliverable within a Goal.
"Seat"
A licensed position that allows a team member full access to your account.
"User Data"
All data and content you submit through the Service.

2. Acceptance of Terms

By accessing or using Bizent, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the platform. Your continued use after such changes constitutes acceptance of the modified Terms.

3. Eligibility

To use Bizent, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Have the authority to bind your Business to these Terms if using the Service on behalf of a business entity
  • Not be prohibited from using the Service under UK law

By creating an account, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Verification

4.1 Registration

You must provide accurate, current, and complete information:

  • Valid email address
  • Business name and information
  • Your name and role

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your Account
  • Notifying us immediately of any unauthorised access

4.3 Verification

We may require you to verify your identity or Business through domain verification, business documents, or other means to maintain platform trust and security.

5. Service Description

Bizent is a B2B collaboration platform that enables businesses to:

  • Create and share Goals publicly or privately
  • Collaborate with other businesses on shared objectives
  • Track Milestones and progress
  • Communicate through threaded discussions
  • Build reputation through completed work and reviews
  • Manage workspaces and team access

6. Subscription Plans and Billing

6.1 Subscription Tiers

Bizent offers the following subscription tiers. For current pricing and detailed features, please see our Pricing Page:

  • Free: Limited features for individual users testing the platform
  • Pro: Full features for solo founders and small teams
  • Enterprise: Advanced features and support for larger organisations

6.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All payments are processed securely through Stripe
  • Prices are in GBP (£) and exclude VAT where applicable
  • You authorise us to charge your payment method on each billing cycle
  • Failed payments may result in suspension or termination of your Account

6.3 Cancellation and Refunds

  • You may cancel your subscription at any time
  • Cancellations take effect at the end of the current billing period—you retain access until then
  • No refunds for partial months or unused portions of annual subscriptions unless required by law
  • Free tier users may delete their account at any time

6.4 Price Changes

We reserve the right to change subscription prices with 30 days' advance notice. Price changes will not affect your current billing period.

7. Acceptable Use Policy

7.1 Prohibited Content

You may not post, upload, or transmit Content that:

  • Is illegal, harmful, threatening, abusive, or harassing
  • Infringes intellectual property rights of others
  • Contains malware, viruses, or malicious code
  • Is spam, unsolicited advertising, or promotional material
  • Contains false or misleading information
  • Violates privacy rights or contains personal data without consent
  • Is obscene, defamatory, or otherwise objectionable

7.2 Prohibited Conduct

You may not:

  • Access or attempt to access accounts or data that do not belong to you
  • Use automated systems (bots, scrapers) without our express written permission
  • Circumvent usage limits or access controls
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code
  • Create multiple accounts to evade restrictions or fees
  • Impersonate any person or entity
  • Collect user information without consent

7.3 Prohibited Business Conduct

You may not:

  • Misrepresent your business, credentials, or capabilities
  • Manipulate reviews, ratings, or reputation metrics
  • Engage in fraudulent or deceptive business practices
  • Violate any applicable commercial regulations or competition law
  • Use the Service to facilitate illegal transactions

7.4 Enforcement

We reserve the right to remove Content, suspend, or terminate Accounts that violate this Acceptable Use Policy without notice or refund.

8. User Content

8.1 Your Ownership

You retain all ownership rights to Content you submit to Bizent. You are responsible for ensuring you have the necessary rights to share your Content.

8.2 Licence Grant to Bizent

By submitting Content, you grant Bizent a worldwide, non-exclusive, royalty-free licence to:

  • Store, display, and transmit your Content as necessary to provide the Service
  • Make your Content available to other users according to your privacy settings
  • Create backups and derivative works for operational purposes

This licence ends when you delete your Content or Account, except for Content retained in backups or where necessary for legal compliance.

8.3 Public Content

Content you designate as public (e.g., public Goals) may be visible to all users and potentially indexed by search engines. You should not include confidential information in public Content.

9. Bizent Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Bizent Limited and protected by UK and international intellectual property laws.

"Bizent", the Bizent logo, and other marks are trademarks of Bizent Limited. You may not use these marks without our prior written permission.

These Terms do not grant you any ownership rights or licences to our intellectual property except as necessary to use the Service as intended.

10. Disclaimers and Warranties

AS IS, AS AVAILABLE

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service will meet your specific requirements
  • Results obtained from use of the Service will be accurate or reliable

11. Limitation of Liability

LIABILITY CAP

To the maximum extent permitted by law, Bizent's total liability for all claims arising from or related to the Service shall not exceed the greater of: (a) the fees you paid to Bizent in the 12 months preceding the claim, or (b) £100.

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or Content
  • Cost of substitute services
  • Business interruption

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under UK law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bizent Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content
  • Your business activities conducted through the Service

13. Termination

13.1 By You

You may terminate your Account at any time through your account settings or by contacting us at legal@bizent.com.

13.2 By Bizent

We may suspend or terminate your Account if:

  • You breach these Terms
  • Your payment fails or your account becomes past due
  • We are required to do so by law
  • We reasonably believe termination is necessary to protect the Service or other users

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • Your Content may be deleted (subject to our data retention policy)
  • You remain liable for all fees incurred before termination
  • Provisions that by their nature should survive will survive termination

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, we encourage you to contact us to seek an informal resolution of the dispute.

Changes to These Terms
